Welcome to Worksplace (« we, » « us, » or « our »). These Terms and Conditions (« Terms ») govern your access to and use of our customer portal SaaS application (« Service »). By registering an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

3. Service Description

Worksplace is a customer portal for service providers that allows users to:

  • Import projects integrated with external software (e.g., Harvest, ClickUp, etc.).
  • Invite customers to view project details, including but not limited to budget, remaining balance, used time, time entries, and expenses.
  • Enable customers to make payments, add credits/hours to projects, or manage negative balances.

Please note that the features listed are not exhaustive, and the Service may include additional functionalities and tools as we continue to improve and expand our offerings.

4. Eligibility and Registration

To use our Service, you must:

  • Be at least 18 years old.
  • Provide accurate and complete registration information, including your name, email, and phone number.
  • Have an active account with a time management software that integrates with our Service.

5. Account Security

You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or suspected breach of security.

6. Subscription Plans

We offer the following subscription tiers:

  • Solo (Free Plan): Up to 5 active projects with no time limit.
  • Team
  • Business
  • Enterprise

Details of each plan are available within the application. Please refer to the plan descriptions on the app for comprehensive information. Subscription to any plan requires an active account.

7. Free Plan

Our Solo plan is free and allows users to manage up to 5 active projects indefinitely.

8. Payment and Billing

  • Payment Methods: We accept credit card payments processed securely through Stripe.
  • Billing Cycle: Subscriptions are billed on a monthly basis.
  • Failed Payments: If a payment fails, we will attempt to process it up to 8 times within one month. If all attempts fail, the subscription will be canceled, and access to paid features will be revoked.

9. Pro-Rated Charges

  • Upgrades/Downgrades: When you change your subscription plan mid-cycle, charges are prorated. The billing cycle resets at the time of the change, and any existing subscription or additional charges are adjusted accordingly.
  • Calculations: Pro-rated charges are calculated and handled by Stripe. (Refer to https://docs.stripe.com/billing/subscriptions/prorations)

10. Cancellation and Refunds

  • Cancellation: You may cancel your subscription at any time via the app in the Plan section.
  • No Refunds: All purchases are non-refundable. Upon cancellation, you will retain access to your current plan until the end of the billing cycle, after which the subscription will not be renewed.
  • Termination by Us: We reserve the right to suspend or terminate your account at our discretion, including but not limited to instances of abuse, attempts to exploit or hack the application, vulnerabilities exploitation, or any activities that threaten the integrity and prosperity of the Service.

11. Acceptable Use Policy

You agree not to use the Service for any unlawful or prohibited activities, including but not limited to:

  • Engaging in illegal activities.
  • Distributing spam, malware, or other harmful content.
  • Attempting to hack, reverse-engineer, or exploit vulnerabilities in the Service.
  • Reselling, duplicating, or replicating our application without authorization.
  • Uploading or transmitting any content that infringes on intellectual property rights.
  • Harassing, abusing, or harming other users or third parties.

12. User Responsibilities and Restrictions

You are responsible for:

  • Complying with all applicable laws and regulations while using the Service.
  • Maintaining the security of your account and promptly notifying us of any unauthorized access.
  • Ensuring that your use of the Service does not violate any agreements you have with third parties.

13. Intellectual Property

  • Ownership: We own all rights, titles, and interests in and to the Service, including all intellectual property rights.
  • License: We grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes, subject to these Terms.
  • Restrictions: You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse-engineer or attempt to extract the source code of that software.

14. Data Privacy and Security

  • Data Collection: We collect basic information necessary to create your account, such as your name, email, and phone number. Billing information is processed securely through Stripe and is tokenized.
  • Data Usage and Storage: Your data is protected using SSL encryption and is stored securely on Digital Ocean servers with restricted access. We implement industry-standard security measures to safeguard your information.
  • Third-Party Sharing: We do not share your personal data with third parties except as necessary to provide the Service (e.g., integration with third-party software).

15. Third-Party Services

Our Service integrates with or relies on third-party services, including but not limited to:

  • Stripe
  • HubSpot
  • Google Analytics
  • Hotjar
  • Twilio
  • Sentry
  • Google OAuth2
  • Digital Ocean

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the performance or security of these third-party services.

16. Limitation of Liability

  • Disclaimers: The Service is provided on an « as is » and « as available » basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Liability Cap: To the fullest extent permitted by law, in no event shall Worksplace, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

17. Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

18. Modifications to Terms

  • Notification: We reserve the right to modify these Terms at any time. Changes will be communicated via a popup notification when you log into the app.
  • Acceptance of Changes: Your continued use of the Service after modifications indicates your acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue your use of the Service.

19. Governing Law and Dispute Resolution

  • Jurisdiction: These Terms are governed by the laws of the Province of Quebec, Canada, without regard to its conflict of law principles.
  • Dispute Resolution: Any disputes arising from these Terms or the Service shall first be resolved through binding arbitration in Longueuil, Quebec, as per the applicable arbitration rules. If arbitration fails to resolve the dispute, parties may proceed to litigation in the court of Longueuil, Quebec.

20. Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Worksplace regarding the use of the Service and supersede any prior agreements or understandings, whether written or oral.

21. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will otherwise remain in full force and effect.

22. Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
